These Terms of Service ("Terms") govern your use of the CareSphere platform and associated services (the "Service") provided by Boston Managed IT, LLC ("Boston Managed IT," "we," "us," or "our"). By accessing or using CareSphere, you agree to be bound by these Terms. If you do not agree, do not use the Service.
These Terms apply to the organization that has subscribed to CareSphere ("Customer") and all users authorized by that organization.
CareSphere is a web-based residential care operations platform providing electronic medication administration records (eMAR), compliance task management, incident reporting, ISP goal tracking, shift notes, document management, and related features for group homes, ICFs, and residential care programs.
We reserve the right to modify, update, or discontinue features of the Service with reasonable notice to customers. Material changes to core functionality will be communicated at least 30 days in advance.

Each user must have their own login credentials. Sharing accounts or login credentials between multiple individuals is not permitted and may result in account suspension.
You agree to use CareSphere only for lawful purposes and in accordance with these Terms. You may not:
You own your data. The Customer retains full ownership of all data entered into CareSphere, including resident records, clinical documentation, compliance records, and any other content. Boston Managed IT does not claim any ownership rights over your data.
We process your data solely to provide the Service as described in these Terms and your Business Associate Agreement. We do not sell, license, or otherwise transfer your data to third parties.
You may export your data at any time using the export features within the platform or by contacting support. Upon termination of service, we will provide a data export before deleting your data as described in our Privacy Policy.
CareSphere handles protected health information (PHI) as a business associate under HIPAA. We require a signed Business Associate Agreement (BAA) with every customer before they use the Service with real patient or resident data.
The BAA governs the handling of PHI and is incorporated into these Terms by reference. Customers are responsible for ensuring their use of CareSphere complies with their own HIPAA obligations as covered entities or business associates.
Do not enter real PHI into CareSphere until a BAA has been executed. Contact support@bostonmit.com to initiate the BAA process.
We make commercially reasonable efforts to maintain high availability of the Service. Planned maintenance will be communicated in advance where possible. We are not liable for service interruptions caused by circumstances beyond our reasonable control, including infrastructure provider outages, natural disasters, or network failures.
Enterprise customers with SLA guarantees are governed by the terms of their specific service agreement.
Service fees are billed monthly in advance per facility as described in your service agreement. Invoices are due on receipt. Accounts more than 30 days past due may be suspended. We reserve the right to adjust pricing with 60 days' written notice.
CareSphere and all underlying software, designs, and documentation are the intellectual property of Boston Managed IT, LLC. Nothing in these Terms grants you any rights in the CareSphere software or brand beyond the limited right to use the Service as described.
To the maximum extent permitted by applicable law, Boston Managed IT shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages.
Our total liability to you for any claims arising from these Terms or your use of the Service shall not exceed the total fees paid by you in the twelve months prior to the claim.
Nothing in these Terms limits liability for fraud, gross negligence, or willful misconduct, or for any matter that cannot be excluded or limited under applicable law.
Either party may terminate the service agreement with 30 days' written notice. Upon termination, we will provide a data export and then securely delete your data in accordance with our data retention policy.
We reserve the right to terminate or suspend accounts immediately for material breach of these Terms, including unauthorized use of PHI, misuse of the platform, or non-payment.
These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Suffolk County, Massachusetts.
We may update these Terms from time to time. Material changes will be communicated with at least 30 days' notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
